 🤯 OpenAI Ditches its For-Profit plans!

Guess what?

OpenAI just pulled a U-turn.

Remember how they were trying real hard to officially switch from a nonprofit to a full-blown for-profit company?

Yeah… that’s not happening anymore.

Apparently, after some “friendly chats” (or better put: legal side-eyes) from the attorneys general of California and Delaware — who actually have the power to shut that kind of thing down — OpenAI decided to quietly scrap the plan.

Instead, they’re going with the Public Benefit Corporation (PBC) route.

Think of it as a hybrid setup: still a business, still making money, but with some “we care about the greater good” energy baked in. (Also, FYI: Anthropic and Elon’s xAI are doing the same thing —so it’s kinda trendy now.)

But that’s not where it ends. In fact, this move comes with some spicy changes.

For one, OpenAI had this weird investor cap where folks could “only” make 100x their money before the rest of its profits flowed back to the nonprofit. But now? That cap is gone.

With the new PBC setup, investors and employees will hold regular stock — and can chase those sweet, unlimited gains.

Why the change? Simple: fundraising.

OpenAI says it’s going to need hundreds of billions — and maybe even trillions — to bring AGI “to all of humanity.”

And nope— the drama isn’t over yet.

The nonprofit board — yep, the same board that briefly fired Sam Altman — is still running the show.

They’ll appoint a new board for the PBC, receive a yet-to-be-decided equity stake in the PBC Subsidiary, and will still hold ultimate control over the company.

Also, fun fact: Sam Altman still doesn’t own a single share in OpenAI. Wild, right?

Man’s out here steering a trillion-dollar ship with zero stock. Either he’s a saint or he’s playing the longest long game ever.

Meanwhile, California’s DOJ is still poking around.

They’re “reviewing” the new plan — which kinda sounds like “we’re not sure we trust y’all yet.” Delaware’s staying quiet, but eyes? Yeah, they’re still very much on OpenAI.

The Bottom line?

OpenAI isn’t going fully for-profit anymore. Instead, it’s pivoting to a more flexible model that:

  • Lets investors get paid

  • Keeps the nonprofit board in charge

  • And sets them up to raise massive cash for their next big AGI leap

One thought, though: Does this mean Musk finally won and the beef can now be squashed?

We’d say yes… but knowing Elon, he’ll probably find something else to call out.
